Coverage Summary
Directors and Officers Liability and Company Reimbursement Insurance together provide protection to directors and senior management for wrongful acts committed whilst carrying out their duties associated with the management of the company.

Coverage is provided for:

• Legal costs incurred by individual directors and officers with the Insurer's consent in the defence of any proceedings.
• Amounts which directors and officers are legally liable to pay due to wrongful acts.
• Payment of plaintiffs costs where Insured Persons are found liable.

• $250,000 Aggregate limit
• Start up Companies OK
• No automatic insolvency exclusion provided the business is solvent at commencement of the policy
• No Financials required

• Officers of the company or its subsidiaries. This includes any directors and employees in those capacities, and also extends to deemed directors under the Companies Act 1993.
• The company itself, by way of reimbursement to the extent that the company has directly indemnified any director or officer of the company as it was legally obliged or permitted to do so.
